Thanks for using humans.id ("humans.id"), a trading name of Human by Design Ltd ("we", "us", or "our"). These terms of service govern your access to and use of Human by Design Ltd. website and services, so please read everything carefully.
This document explains the terms by which you may use our websites, https://app.myhumans.id/ and https://www.humans.id/ ("Sites") and any other mobile or web services or applications owned, controlled, or offered by Human by Design Ltd., including but not limited to the humans.id services.
By accessing or using the Sites you signify that you have read, understood, and agree to be bound by these Terms of Service and the associated Privacy Policy (collectively the "Terms" or the "Agreement").
[AMENDED v6] By accepting these Terms, you represent and warrant that you have the authority to bind the organisation on whose behalf you are acting, including the obligations as data controller under UK GDPR and EU GDPR where applicable.
Terms
These Terms of Service are a contract between you and Human by Design Ltd. Human by Design Ltd. operates https://app.myhumans.id/ and https://www.humans.id/ and is entered into as of the start date set forth on the applicable Subscription Order (the "Effective Date"). This Agreement sets forth the terms under which Subscriber will be permitted to use the recruiting services (the "Services").
By accessing these websites, you agree to be bound by these Terms, all applicable laws and regulations, and agree that you are responsible for compliance with any applicable local laws. If you do not agree with any of these Terms, you are prohibited from using or accessing this site. The materials contained in this website are protected by applicable copyright and trademark law.
1. Access and Fees
1.1 Access
Subject to all terms and conditions of this Agreement, Human by Design Ltd. will provide, and Subscriber may access, the Service for Subscriber's internal business purposes.
1.2 Seats
Subscriber may have User accounts ("Seats") activated for access to the Services as specified in the applicable Subscription Order(s).
1.3 Subscription Fees
Subscriber agrees to pay the Subscription Fees to Human by Design Ltd. Subscription Fees are:
- Based on the features of the Services and level of use ordered and not on actual usage; and
- Non-cancelable and non-refundable except in the case of material breach as outlined in paragraph 4.3.
1.4 Invoicing
humans.id will invoice Subscriber for the fees as defined in the Subscription Order. Payment of undisputed invoiced amounts shall be paid by Subscriber within 30 days of Subscriber's receipt of said invoice. Any price discounts are valid for the term of the Subscription Order.
2. Subscriber Responsibilities and Restrictions
2.1 Acceptable Use
Subscriber shall not knowingly:
- (a) Use the Services for any illegal purpose or in violation of any applicable law or regulation, including laws that govern email marketing such as the CAN-SPAM Act of 2003;
- (b) Impersonate any person or access the Services account of any third party without permission;
- (c) Rent, lease, resell, sublicense, distribute, or otherwise transfer access to the Services, or use the Services for service bureau or time-sharing purposes or in any other way allow third parties to exploit the Services;
- (d) Disable or circumvent any feature of the Services that provides or enhances security, restricts access, monitors use, or enforces limitations on use;
- (e) Interfere with or impair the operation of the Services by any means including introduction of malware or excessive usage or network traffic;
- (f) Provide Services passwords or other log-in information to any third party;
- (g) Share non-public Services features or content with any third party;
- (h) Use any automated methods (including "robots" or "crawlers") or excessive numbers of data requests to download or "scrape" any materials or information from the Services;
- (i) Disassemble, decompile, reverse engineer, or translate any software related to the Services, or otherwise attempt to discover any such software source code, object code, or underlying proprietary information, except to the extent that such restriction is prohibited by applicable law; or
- (j) Use the Services or any data or materials obtained from the Services in order to build a competitive product or service, to build a product using similar ideas, features, functions, or graphics of the Services, or to copy any ideas, features, functions, or graphics of the Services.
2.2 Unauthorized Access
Subscriber shall take reasonable steps to prevent unauthorized access to the Services, including without limitation by protecting its passwords and other login information. Subscriber shall notify Human by Design Ltd. immediately of any known or suspected unauthorized use of the Services or breach of its security and shall use best efforts to stop such breach.
2.3 Responsibility for Subscribers
Subscriber is responsible and liable for Subscribers' use of the Services, including without limitation any Subscriber conduct that would, if performed by Subscriber, breach this Agreement.
2.4 Hiring Practices
It is Subscriber's responsibility to be familiar with laws, regulations, and best practices related to hiring, including without limitation those related to illegal discrimination, such as the Uniform Guidelines on Employee Selection Procedures issued by the U.S. Equal Employment Opportunity Commission or the EU Equality Framework Directive (2000/78/EC). Subscriber further acknowledges that candidates retain ownership of their personal data at all times.
Role withdrawal. Where a candidate withdraws from a specific role application via the Humans.id platform, Human by Design Ltd. will remove the candidate from that role's pipeline immediately and notify the Subscriber. The Subscriber is responsible for their own compliance with applicable data protection and employment law in relation to any candidate data they hold independently. For the avoidance of doubt, a candidate's withdrawal from a specific role does not prevent Subscriber from contacting that candidate about other current or future roles, provided that the candidate consented to such future contact at the point of application and has not subsequently requested full account deletion.
Full account deletion. Where a candidate requests deletion of their Humans.id account, Human by Design Ltd. will delete all data held within the Humans.id platform within 5 working days. Because the candidate's consent to share data with the Subscriber was granted directly to the Subscriber at the point of application, the Subscriber holds that data under their own independent lawful basis and is responsible for their own compliance with applicable data protection law.
2A. AI-Assisted Features
2A.1 Advisory Nature of AI Features
The Services include AI-assisted features that may generate candidate assessments, summaries, scores, or recommendations ("AI Outputs"). AI Outputs are generated by third-party large language model services (currently Anthropic PBC) using prompts and instructions designed by Human by Design Ltd. AI Outputs are provided as a second opinion for informational and decision-support purposes only. They do not constitute a hiring decision, a recommendation to shortlist or reject any individual, or an automated decision as defined under applicable data protection legislation. Humans.id does not auto-shortlist or auto-reject any candidate.
2A.2 Human Decision-Making
All final decisions regarding candidates, including screening, shortlisting, rejection, advancement, or any other employment action, are made solely by the Subscriber's recruiters and hiring personnel. Humans.id provides no recommendation, does not make any candidate decision, and accepts no liability for any employment decision, candidate treatment, or employment outcome resulting from the Subscriber's use of the Services or the Subscriber's independent judgement. The Subscriber accepts full responsibility for all candidate decisions and their compliance with applicable employment and equality laws.
2A.3 Bias Mitigation
Human by Design Ltd. maintains an internal AI bias monitoring programme designed to identify and mitigate the risk of AI Outputs reflecting unlawful bias on the basis of protected characteristics. AI-assisted features are designed to process professional and job-relevant information only and are not designed to consider or infer protected characteristics. Human by Design Ltd. will provide Subscriber, upon reasonable written request, with a summary of its bias monitoring practices. The foregoing is not a warranty that AI Outputs will be free from error or bias in all cases; Subscriber is responsible for reviewing AI Outputs and applying its own judgement before taking any action.
2A.4 Subscriber Obligations
Subscriber shall: (a) ensure that its authorised users are trained on the advisory nature of AI Outputs and the requirement to apply human judgement before making any hiring decision; (b) not use AI Outputs as the sole or primary basis for any hiring decision; and (c) comply with all applicable employment, equality, and data protection laws in its use of the Services, including in relation to any decision informed by AI Outputs.
3. Third-Party Services and Websites
The Services may contain links and features that connect to third party websites, products, or services such as applicant tracking systems ("Third Party Products"). Human by Design Ltd. may provide tools and features that enable Subscriber to import and export Subscriber Data and other information from and to Third Party Products, including by linking Subscriber's account on the Services with accounts or features of Third Party Products.
By using such tools and features, Subscriber authorizes Human by Design Ltd. to transfer such Subscriber Data and other Subscriber information to Third Party Products. Third Party Products are not under Human by Design Ltd. control. Neither this Agreement nor Human by Design Ltd.'s Privacy Policy are binding upon such third parties, and Human by Design Ltd. does not endorse such third parties. Human by Design Ltd. is not responsible for the actions or inactions of such third parties or the contents or performance of any Third Party Product.
4. Term and Termination
4.1 Term
This Agreement shall remain in effect and Human by Design Ltd. will provide the Services during the period defined in the Subscription Order, during the Start and End Dates (the "Term").
4.2 Renewal Term
This Agreement will automatically renew for successive additional terms (each, a "Renewal Term"), unless either party elects not to renew this Agreement by providing written notice to the other party at least thirty (30) days prior to the end of the then-current Initial Term or Renewal Term. The duration of each such Renewal Term will be equal to the lesser of one year or the length of the Subscription Period set forth in the most recent Subscription Order between the parties.
Human by Design Ltd. may send notice of price increases prior to the Subscription Period renewal. One-time discounts included in Subscription Order(s) do not apply to subsequent Subscription Periods.
4.3 Termination for Breach
Either party may terminate this Agreement upon notice if the other party materially breaches this Agreement, provided that:
- Such party gives 30 days' notice to the other party describing the manner in which the Agreement has been breached; and
- The breach remains uncured during such notice period.
Notwithstanding the foregoing, if Subscriber fails to pay any undisputed invoiced amounts by the due date, Human by Design Ltd. may immediately suspend access to the Services without providing a cure period. In all other cases of breach by Subscriber, Human by Design Ltd. may suspend access to the Services during the notice period where suspension is necessary to protect the security, integrity, or lawful operation of the Services.
5. Customer Reference
5.1 Customer Reference
Human by Design Ltd. may use Subscriber's name and logo in listings of Human by Design Ltd. customers on the website located at humans.id and in other public statements or disclosures for the purposes of marketing the Service; provided Subscriber may require Human by Design Ltd. to cease or modify any use of Subscriber's name or logo that is misleading or tends to dilute Subscriber's brand.
6. Disclaimer
6.1 Disclaimer
The materials on humans.id's websites are provided "as is". Human by Design Ltd. makes no warranties, expressed or implied, and hereby disclaims and negates all other warranties, including without limitation, implied warranties or conditions of merchantability, fitness for a particular purpose, or non-infringement of intellectual property or other violation of rights. Further, Human by Design Ltd. does not warrant or make any representations concerning the accuracy, likely results, or reliability of the use of the materials on its Internet website or otherwise relating to such materials or on any sites linked to this site.
7. Limitations
7.1 Limitations
In no event shall Human by Design Ltd. or its suppliers be liable for any damages (including, without limitation, damages for loss of data or profit, or due to business interruption) arising out of the use or inability to use the materials on Human by Design Ltd.'s Internet site, even if Human by Design Ltd. or a Human by Design Ltd. authorized representative has been notified orally or in writing of the possibility of such damage. Because some jurisdictions do not allow limitations on implied warranties, or limitations of liability for consequential or incidental damages, these limitations may not apply to you.
8. Indemnity
8.1 Indemnity
You agree to defend, hold harmless, and indemnify Human by Design Ltd. from and against any and all losses, costs, expenses, damages, or other liabilities incurred by Human by Design Ltd. arising from or related to any cause of action, claim, suit, proceeding, demand, or action brought by a third party against Human by Design Ltd.: (a) in connection with your use of the Sites including any payment obligations incurred through use of the Site; or (b) resulting from: (i) your use of the Site; (ii) your decision to supply profile or payment information via the Sites, including personal financial information; (iii) your decision to submit applications; (iv) any breach of contract or other claims made by any party with which you conducted business through the Site; (v) your breach of any provision of this Agreement; (vi) any liability arising from the tax treatment of payments or any portion thereof; (vii) any negligent or intentional wrongdoing in connection with your use of the Services; (viii) any act or omission of yours with respect to the payment of fees; or (ix) your dispute of or failure to pay any invoice or any other payment.
Any such indemnification shall be conditioned on our: (a) notifying you in writing of any such claim, demand, action, cost, liability, loss, or threat thereof; (b) cooperating with you in the defence or settlement thereof; and (c) allowing you to control such defence or settlement. We shall be entitled to participate in such defence through our own counsel at our own cost and expense. We reserve the right to report any wrongdoing of which we become aware to the applicable government agencies or otherwise.
9. Terms of Use Modifications
9.1 Site Terms of Use Modifications
Human by Design Ltd. may revise these terms of use for its website at any time without notice. By using this website you are agreeing to be bound by the then-current version of these Terms of Service.
We may change these terms at any time upon notice to you. If we make any substantial changes, we may notify you by sending an e-mail to the last e-mail address you provided to us (if any) and/or by prominently posting notice of the changes on our Site.
Any changes to this Agreement will be effective immediately for new Users and upon the date stated in the notice for existing Users. Continued use of our Services following notice of such changes will indicate your acknowledgement of such changes and agreement to be bound by the terms and conditions of such changes.
You are responsible for providing us with your most current e-mail address. In the event that the last e-mail address you have provided us is not valid or for any reason is not capable of delivering to you the notice described above, our dispatch of the e-mail containing such notice will nonetheless constitute effective notice of the changes described in the notice.
10. Data Protection
To the extent Human by Design Ltd. processes any personal data on behalf of Subscriber, the parties agree that such processing shall be governed by the Data Processing Agreement (DPA) mutually agreed upon and accepted by the parties at the point of account creation, the terms of which are incorporated herein by reference. In the event of a conflict between this Agreement and the DPA, the DPA shall prevail. Subscriber acknowledges that it is the data controller in respect of all candidate personal data shared with it by Human by Design Ltd., and that it is solely responsible for its own compliance with applicable data protection law in relation to that data, including the UK GDPR and GDPR where applicable. Subscriber shall not transfer candidate personal data to any jurisdiction outside the UK/EU without ensuring that: (a) an adequacy decision is in place for the destination country; (b) Standard Contractual Clauses are executed between the parties; or (c) the relevant candidate has provided explicit informed consent to that specific transfer. Subscriber acknowledges that candidate data is stored by Human by Design Ltd. on AWS servers located in Germany, and that AI-assisted processing involves transmission to Anthropic PBC (US) under Standard Contractual Clauses.
11. Compliance and AI Warranties
Human by Design Ltd. represents and warrants that, to the best of its knowledge and belief: (a) it has taken reasonable steps to ensure that it holds appropriate legal bases to process candidate data sourced from third-party platforms used to provide the Services; and (b) its prompts, instructions, and AI-assisted features are designed using reasonable commercial efforts to prevent unlawful discrimination on the basis of protected characteristics as defined in applicable equality law. Human by Design Ltd. agrees to provide Subscriber, upon reasonable written request, with documentation summarising its AI bias monitoring practices and any findings from its most recent audit cycle.
12. Governing Law
Any claim relating to Human by Design Ltd.'s websites shall be governed by and construed in accordance with the laws of England and Wales, and the parties submit to the exclusive jurisdiction of the courts of England and Wales.
13. Entire Agreement
This Agreement constitutes the entire agreement between you and us regarding the use of the Services. Our failure to exercise or enforce any right or provision of this Agreement will not operate as a waiver of such right or provision. The section titles in this Agreement are for convenience only and have no legal or contractual effect. The word "including" means including without limitation.
If any provision of this Agreement is, for any reason, held to be invalid or unenforceable, the other provisions of this Agreement will be unimpaired and the invalid or unenforceable provision will be deemed modified so that it is valid and enforceable to the maximum extent permitted by law.
Your relationship to us is that of an independent contractor, and neither party is an agent or partner of the other. This Agreement, and your rights and obligations herein, may not be assigned, subcontracted, delegated, or otherwise transferred by you without our prior written consent, and any attempted assignment, subcontract, delegation, or transfer in violation of the foregoing will be null and void. The terms of this Agreement will be binding upon assignees.
